Amplead Limited - Platform Terms & Conditions

Introduction

(A) We have developed and own a Platform, comprising certain software applications and tools which are targeted at participants in the music industry, which we make available to subscribers via the internet.

(B) You wish to use our service in your business operations. We have therefore agreed and you have agreed to take and pay for our service on the terms and subject to the conditions of this agreement.

1. Interpretation

The definitions and rules of interpretation set out in Schedule 1 apply in this agreement.

2. About us

2.1 Company details. Amplead Limited (company number 12316640) ("we" and "us") is a company registered in England and Wales and our registered office is at Fleming Court Leigh Road, Eastleigh, Southampton, Hampshire, United Kingdom, SO50 9PD. Our main trading address is at 35 Brookley Road, Brockenhurst, Hampshire SO42 7RB. Our VAT number is 114 2873 31. We operate the websites www.amplead.com, portal.amplead.com, auth.amplead.com.

2.2 Contacting us. We can be contacted via e-mail at support@amplead.com or via the Platform. The provisions of Clause 8.2 shall apply to the provision of any support via e-mail. The provisions of Clause 17 shall apply to the giving of formal notices of any matter under this agreement.

3. Our contract with you

3.1 Our contract

This agreement applies to your use of the Platform and to the supply of any Services by us to you. This agreement applies to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing

3.2 Entire agreement. This agreement constitutes the entire agreement between you and us in relation to its subject matter. You acknowledge that you have not relied on any statement, promise or representation or assurance or warranty that is not set out in this agreement.

3.3 Language. This agreement is made only in the English language.

3.4 Your copy. You should print a copy of this agreement or save it to your computer or device for future reference.

3.5 Changes to this agreement. We shall be entitled to vary this agreement from time to time, and shall promptly give you notice via the Platform (or such other method we designate we may designate from time to time) of any such changes. You shall be deemed to accept any variations unless you contact us within 1 month (or such other timeframes as set out in our notification) to tell us that you do not accept such variations, in which case you shall be deemed to have given notice to prevent the automatic renewal of this agreement and the Licence under Clause 5.2.

4. Signing up to our service

4.1 In order to use our Platform, you should follow the onscreen prompts on the Website and then submit your application to register. Subject to Clause 4.2, you will then be formally registered to use the Platform, and the details of your Subscription Package will be viewable via the Dashboard.
